End User License Agreement
Last updated: October 1, 2026
This End User License Agreement ("Agreement") is a binding legal agreement between you — and, if you use Verq Check on behalf of a clinic, employer, or other organization, that organization (together, "you" or "Licensee") — and VerQ, Inc., a Delaware corporation ("Verq," "we," "us," or "Licensor"), governing the Verq Check Safari web extension and its related container application (together, the "Licensed Application"). By downloading, installing, enabling, or using the Licensed Application, or by tapping "Agree" when this Agreement is presented, you confirm that you have read and agree to it. If you do not agree, do not install, enable, or use the Licensed Application. If you are accepting on behalf of an organization, you represent that you are authorized to bind it. The Licensed Application is licensed, not sold, to you.
1. Acknowledgement
You and Verq acknowledge that this Agreement is concluded between Verq and you only, and not with Apple Inc. ("Apple"), and that Verq, not Apple, is solely responsible for the Licensed Application and its content. This Agreement does not provide for usage rules for the Licensed Application that conflict with, or are less restrictive than, the usage rules set forth for applications in, or otherwise are in conflict with, the Apple Media Services Terms and Conditions (the "Usage Rules"). You acknowledge that you have had the opportunity to review the Usage Rules. Verq, not Apple, is solely responsible for the Licensed Application and the content thereof, to the extent not otherwise expressly stated in this Agreement.
2. Scope of License
Verq grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Licensed Application on any Apple-branded products that you own or control, and only as permitted by the Usage Rules. Except as provided in the Usage Rules, you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute, or sublicense the Licensed Application and, if you sell your Apple-branded device to a third party, you must remove the Licensed Application from the device before doing so.
Your license is further conditioned on, and limited by, a valid Verq organization license key. The license is granted to the organization identified by that key, for use by that organization's authorized clinicians and staff in the course of their work, and remains in effect only while that key is valid and in good standing. Verq provisions, suspends, and revokes license keys directly; the Licensed Application is distributed at no charge through the App Store and contains no in-app purchase.
The Licensed Application does not require you to create an individual account and does not collect your name, email address, or login credentials. A randomly generated installation identifier is used to associate an installation with its organization license; you may reset it at any time using the extension's own control, which also clears the license from that installation.
3. Clinical Use; No Medical Advice; Professional Responsibility
The Licensed Application is an administrative and documentation-support tool intended for use by qualified healthcare professionals and their authorized staff. It is not a medical device, is not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition, and has not been cleared, approved, or otherwise authorized by the U.S. Food and Drug Administration or any other regulatory authority.
The Licensed Application does not provide medical, clinical, coding, billing, reimbursement, legal, or compliance advice. Any output it produces is informational and assistive only. You, the clinician or organization, retain sole and exclusive responsibility and professional judgment for all clinical decisions and for all documentation, coding, billing, and claims you create, submit, or rely upon. You are responsible for independently reviewing and verifying all output against the underlying clinical record before relying on it or acting on it. Verq does not practice medicine, does not provide healthcare services, and does not establish any provider-patient relationship through the Licensed Application.
4. Artificial Intelligence; Nature of Output
The Licensed Application uses automated processing and artificial-intelligence techniques, including one or more third-party AI service providers, to analyze a de-identified subset of clinical note content and return suggested findings. The third-party AI providers that process this content are identified in the Sub-Processors list referenced in Section 5.
You understand and agree that AI-generated output is probabilistic, may be incomplete or inaccurate, may vary between uses for similar input, and is not a substitute for professional review. The Licensed Application does not guarantee the accuracy, completeness, or suitability of any output for any particular purpose. You must not rely on any output without independent verification by a qualified professional, as set out in Section 3. By accepting this Agreement, you consent to the processing described in this Section and in Section 5, including the transmission of de-identified clinical content to Verq and its AI sub-processors for the purpose of providing the Licensed Application.
5. Data, Privacy, and De-Identification
When you enable the Licensed Application and grant it access to your electronic medical record ("EMR") site, it reads the clinical note text on the page you have open in order to perform its check. Access is granted by you on a per-site basis and the Licensed Application reads only the active page of the EMR site you have authorized; it does not read other sites, your credentials, or your browsing activity.
Before any clinical content is transmitted to Verq's servers, the Licensed Application applies automated de-identification that is designed to remove direct identifiers (including, for example, name, date of birth, Social Security number, telephone number, email address, street address, medical record number, member or policy number, and facility name) and to transmit a de-identified subset — such as diagnosis and procedure codes and de-identified narrative text — for analysis. De-identification is performed on a commercially reasonable, best-efforts basis and is not warranted to remove all information that could, alone or in combination, identify an individual.
You are responsible for ensuring that your use of the Licensed Application complies with the Health Insurance Portability and Accountability Act ("HIPAA") and all other laws applicable to the data you process. Where Verq creates, receives, maintains, or transmits protected health information on your behalf, the Verq Business Associate Agreement (version dated October 1, 2026), available at https://verq.ai/baa.html, is incorporated into this Agreement by reference and applies, and by accepting this Agreement you also accept it; in the event of any conflict between this Agreement and the Business Associate Agreement as to protected health information, the Business Associate Agreement controls. Verq's collection and use of information is further described in the Verq Privacy Policy at https://verq.ai/privacy.html and the Sub-Processors list at https://verq.ai/sub-processors.html, each incorporated into this Agreement by reference.
6. Use Restrictions
You shall not, and shall not permit any third party to: (a) copy, modify, adapt, translate, or create derivative works of the Licensed Application except as expressly permitted by this Agreement or applicable law; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Licensed Application, except to the limited extent applicable law expressly permits despite this limitation; (c) rent, lease, lend, sell, sublicense, assign, distribute, publish, or otherwise make the Licensed Application available to any third party; (d) remove, obscure, or alter any proprietary notice; (e) use the Licensed Application to build a competing product or service; (f) circumvent, disable, or interfere with the de-identification, usage limits, license controls, or security features of the Licensed Application; (g) input or process any data that you are not authorized to process, or use the Licensed Application other than with EMR sites you are authorized to use; or (h) use the Licensed Application in any manner that violates applicable law or the rights of any third party.
7. Maintenance and Support
Verq is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this Agreement or as required under applicable law. You and Verq acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application. You may request support by emailing support@verq.ai or by using the help resources linked within the Licensed Application.
8. Warranty
Verq is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under this Agreement. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Verq's sole responsibility. Because the Licensed Application is provided at no charge through the App Store, any such refund of a purchase price may be zero.
9. Product Claims
You and Verq acknowledge that Verq, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to: (a) product liability claims; (b) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation. This Agreement does not limit Verq's liability to you beyond what is permitted by applicable law.
10. Intellectual Property Rights
You and Verq acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, Verq, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim. All title, ownership, and intellectual property rights in and to the Licensed Application, and all copies and portions thereof, are and remain the exclusive property of Verq and its licensors. No rights are granted to you other than the limited license expressly set out in this Agreement.
11. Legal Compliance
You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. You further agree to comply with all applicable third-party terms of agreement when using the Licensed Application.
12. Third Party Terms
You must comply with applicable third-party terms of agreement when using the Licensed Application, including the terms of your EMR provider and the Apple Media Services Terms and Conditions. You are solely responsible for ensuring that your use of the Licensed Application with any EMR system is authorized under your agreements with that EMR provider. Verq is an independent company and is not affiliated with, sponsored by, or endorsed by WebPT, Inc. or Apple Inc.; WebPT and Apple are not responsible for the Licensed Application.
13. Third Party Beneficiary
You and Verq acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
14. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Licensed Application is provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind. Verq and its licensors and suppliers disclaim all warranties and conditions with respect to the Licensed Application, whether express, implied, or statutory, including the implied warranties and conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, and non-infringement. Verq does not warrant that the Licensed Application will meet your requirements, operate without interruption or error, be free of harmful components, or that defects will be corrected. No oral or written information or advice given by Verq or its representatives creates a warranty. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
15. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will Verq or its licensors or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Licensed Application or this Agreement, however caused and under any theory of liability, even if advised of the possibility of such damages. To the maximum extent permitted by applicable law, Verq's total cumulative liability arising out of or related to the Licensed Application and this Agreement will not exceed the greater of the amounts paid by your organization to Verq for the Licensed Application in the twelve months before the event giving rise to the liability, or one hundred U.S. dollars (US$100). The limitations in this Section do not apply to liability that cannot be excluded or limited under applicable law, and nothing in this Agreement limits your rights as a consumer where such rights cannot be waived.
16. Term and Termination
This Agreement is effective until terminated. It applies for as long as you use the Licensed Application and, where applicable, for as long as your organization's license key is valid. Your rights under this Agreement terminate automatically, without notice, if you fail to comply with any of its terms, and will also end if your organization's license key expires or is revoked. Upon termination you must stop all use of the Licensed Application and remove it from your devices. Sections 3 through 6 and 8 through 20, and any other provision that by its nature should survive, will survive termination.
17. Governing Law
This Agreement is governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules, except that the foregoing does not supersede any mandatory governing-law provision of the Usage Rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The courts located in Duval County, Florida will have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, and you consent to personal jurisdiction there, subject to any mandatory consumer-protection law of your place of residence.
18. Changes to this Agreement
Verq may update this Agreement from time to time to reflect changes to the Licensed Application or to applicable law. When Verq makes a material change, it will update the "last updated" date above and make the revised Agreement available within the Licensed Application or at https://verq.ai/eula.html. Your continued use of the Licensed Application after a revised Agreement takes effect constitutes your acceptance of the revised terms. If you do not agree to a change, you must stop using the Licensed Application.

20. General
This Agreement, together with the Verq Privacy Policy, the Sub-Processors list, and any applicable Business Associate Agreement, is the entire agreement between you and Verq regarding the Licensed Application and supersedes all prior or contemporaneous understandings regarding its subject matter. If any provision of this Agreement is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force and effect. Verq's failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer this Agreement or any rights under it without Verq's prior written consent; Verq may assign this Agreement without restriction. The section headings in this Agreement are for convenience only and have no legal effect.
